Reporting to the Company Secretary, you will lead governance support for the Executive Leadership Team and related management-level bodies, while working closely with your fellow Deputy Company Secretaries to support the International Board, Members' Assembly, their standing committees, and any ad hoc committees. You will also help deliver an effective company administration and secretariat service, provide expert advice on corporate governance processes and requirements, and coordinate and attend key governance meetings, including periodic face-to-face meetings held internationally. The next Leadership Team and International Board meeting is scheduled to take place in Nairobi, Kenya, in December 2026.\n\n\nWhat you'll do\n\nProvide high-quality governance advice to the Board, Committees, and senior leadership, enabling effective decision-making and fulfilment of fiduciary responsibilities.\nLead governance support services for the Members' Assembly, International Board, and Committees, ensuring effective planning, coordination of workplans, and follow-up of actions.\nPartner closely with the CEO, Chief of Staff, COO, and Executive Office to coordinate governance and management decision-making processes across the organisation.\nDevelop and maintain governance frameworks, systems, policies, and procedures that promote good governance, compliance, and effective decision-making.\nManage the planning and delivery of Board and Committee meetings, including agendas, papers, minutes, action tracking, and governance communications.\nMaintain corporate governance records and ensure compliance with legal, regulatory, and organisational requirements.\nManage Powers of Attorney, written resolutions, and corporate authorisations, ensuring alignment with delegation frameworks and legal requirements.\nOversee governance policies and compliance processes, including conflicts of interest, confidentiality, related-party disclosures, and other regulatory obligations.\nProvide expert guidance on governance best practice, legal requirements, and risk management across the organisation.\nSupport Board and Committee effectiveness, including induction, training, guidance materials, and ongoing governance development.\n\n\n\n\nAbout you\n\n\n\nYou will have Bachelors or Masters degree in Law and \u002F or Corporate Governance AND \u002F OR Associate, Fellow, or Member of the Institute of Certified Secretaries (ICS) (Kenya), Chartered Governance Institute (CGI) (UK), or other equivalent body.\n\n\n\nYou will have a solid understanding of corporate governance and experience in providing support to decision making bodies (including agenda planning, coordinating the preparation and provision of pre-read material, preparing minutes of meetings, tracking meeting actions, developing post meeting communications, and planning face-to-face multi-day meetings), working effectively across several jurisdictions.\n\nYou will bring strong corporate administration and project management skills will be imperative as will excellent relationship building skills and the highest level of diplomacy and discretion.
