Contract Drafting, Negotiation & Management\n\nDraft, review, negotiate, and finalize a wide range of commercial agreements (supplier contracts, SLA, partnerships, client agreements, non-disclosure agreements, leases, and procurement contracts).\nEnsure all company contracts comply with local laws and protect the company's financial and operational interests.\nMaintain a centralised legal repository and contract tracking matrix for timely renewals, obligations, and terminations.\n2. Corporate Governance & OHADA Compliance\n\nOversee corporate secretarial duties, including organising Board meetings, drafting minutes, maintaining shareholder records, and handling official corporate filings.\nEnsure company structure, operations, and resolutions strictly comply with OHADA Uniform Acts (Droit des Sociétés Commerciales et du GIE, Droit Commercial Général).\nCoordinate legal formalities with local public registries, Notaries, Court Clerks (RCCM), and administrative authorities.\n3. Regulatory Compliance & Risk Management\n\nMonitor changes in Cameroonian and regional legislation affecting smart solutions, technology, telecommunications, trade, and corporate activities.\nIdentify potential legal and regulatory risks associated with business activities and propose proactive mitigation strategies.\nEnsure compliance with data protection laws, intellectual property regulations, labour legislation, and sector-specific statutory requirements.\n4. Litigation Management & External Counsel Relations\n\nManage disputes, legal notices, and claims involving suppliers, customers, employees, or third parties to achieve out-of-court settlements whenever possible.\nAct as the primary liaison with external law firms, bailiffs (Huissiers de Justice), and legal experts representing the company in court proceedings.\nPrepare evidence, briefs, and documentation required for ongoing litigation or arbitration.\n5. Labor Law & Internal Legal Advisory\n\nCollaborate with the Human Resources department to ensure employment contracts, internal regulations, and disciplinary procedures adhere strictly to the Cameroon Labour Code.\nProvide practical and timely legal guidance to internal departments (Sales, Finance, Procurement, Operations) regarding everyday business queries.\nQualifications & Requirements:\n\nEducation: Master's Degree (BAC+5) in Business Law, Corporate Law, Private Law, or equivalent.\nExperience: 3 to 5 years of proven experience in corporate legal practice, either as an in-house Legal Officer in a small and medium to large enterprise or within a reputable law firm in Cameroon.\nLegal Expertise: Deep command of OHADA Law, Cameroonian Labour Code, taxation law, and commercial litigation procedures.\nLanguage Skills: Bilingualism (English and French) is required, with strong written and verbal proficiency in English language to handle bilingual contracts and
